Meta Platforms returned to the dollar bond market with another outsized AI funding print. The Meta AI bond sale raised $15 billion across a five-part U.S. offering on November 3, including $3.25 billion of 2031 notes at a 5.85% coupon and $3.25 billion of 2033 notes at 6.25%, according to Channel News Asia.

What happened

CNA said Moody's rates Meta Aa3 and that total debt stood at $83.67 billion as of September 30 on LSEG data, after a prior $25 billion sale in April. Meta's full-year capital-expenditure guide remains $135–$145 billion. FN News confirmed the $15 billion raised November 3, with orders near $58 billion, or about 3.9 times the deal size.

Pricing details showed strong demand. FN News said the 30-year tranche cleared about 2.2 percentage points over Treasuries, tighter than initial talk near 2.5 points and about 0.9 points wider than April comps. Euro bonds are expected next, with combined proceeds expected to exceed $20 billion once that leg prints.

Earlier same-day CNBC coverage had framed a larger $20–25 billion seek split between dollars and euros; the completed dollar print at $15 billion should be treated as the firm figure, with euros still ahead.

Order books near $58 billion for a $15 billion print signal that investment-grade buyers still want duration exposure to hyperscaler AI capex even after Meta's April $25 billion issue and the intervening equity ATM raise.

Why it matters

The deal extends Meta's shift from equity-heavy AI funding toward a larger debt stack. Our report on the Meta equity raise tracked the $9.5 billion ATM path; the Meta AI bond sale adds another $15 billion of fixed-income capacity without further share dilution.

Capital structure politics also matter. Coverage of Meta Class C stock showed how voting control and AI spending collide in the same governance debate; bond buyers are underwriting the capex regardless of that equity fight.

At Aa3 with nearly $84 billion of debt already outstanding, Meta is testing how far investment-grade tech can lever the AI cycle before spreads gap wider on regulation or demand disappointments.

Each successive debt print also raises the bar for free-cash-flow conversion: funding a $135–$145 billion annual capex band with bonds works only while AI product monetization and ad cash flows keep coverage ratios comfortable at Aa3. Coupon levels of 5.85% on the 2031s and 6.25% on the 2033s give credit investors a clear yield pickup for underwriting Meta's multi-year AI infrastructure build.

What's next

Watch the expected euro follow-on and whether combined proceeds clear the $20 billion mark FN News flagged. Channel News Asia's deal wrap lists coupons, tranches and the capex guide.

A soft reception to the euro leg would raise questions about how much more the Meta AI bond sale complex can absorb this year.

Investors will also compare Meta's $135–$145 billion capex band with peer AI infrastructure spending once fourth-quarter updates land.

Watch how the euro tranche prices relative to the dollar 30-year's 2.2-point spread over Treasuries, and whether combined proceeds clear the more-than-$20 billion mark markets already anticipate. Secondary trading in the new notes will show whether the 2.2-point 30-year concession was enough to keep real-money accounts happy once the order book fades.
