Evernorth Armada Combination Puts XRPN on Nasdaq
The Evernorth Armada combination closed on October 9, putting an XRP treasury company on Nasdaq as XRPN with about 473 million XRP and roughly $300 million in gross cash proceeds.

A Ripple-linked XRP treasury company is now a Nasdaq stock. Evernorth Armada combination trading begins after Evernorth Holdings said Class A shares would start under ticker XRPN on October 12, 2026, after closing its business combination with Armada Acquisition Corp. II on October 9, according to the company's October 9 press release and a detailed Form 8-K filed the same day.
What happened
The Evernorth Armada combination debut follows a closing that left the company holding approximately 473 million XRP and about $300 million in gross cash proceeds before expenses, the press release said. Investors named in the announcement include Arrington Capital, SBI Group, Ripple, Pantera Capital, Kraken and GSR. Chief executive Asheesh Birla cast the listing as an actively managed XRP treasury built for public-market transparency; Michael Arrington called support for Evernorth an extension of Arrington's XRP thesis.
The 8-K confirms Pubco Class A common stock and warrants trade on Nasdaq as XRPN and XRPNW beginning October 12. It also discloses that holders of about 80.3% of Armada shares with redemption rights cashed out before closing, returning roughly $195.39 million at about $10.58 per share. Immediately after closing, 22,268,905 Class A shares and 32,211,992 Class C shares were outstanding, alongside 11,739,645 warrants. The Crypto Times had flagged the expected Monday debut in its week-ahead calendar after an earlier administrative delay.
Why it matters
Equity wrappers around large token treasuries give institutions a brokerage path to XRP exposure without holding the asset directly, while introducing company-level premium or discount risk, leverage choices and operating costs. Evernorth's release says the firm intends to deploy capital across the XRP economy and pursue strategies aimed at growing XRP per share, language that will be tested in subsequent filings. The company expects to ring the Nasdaq closing bell on October 14.
The listing also lands beside earlier coverage of the Evernorth XRPN vote path and of XRP ETF inflows into spot products. An Evernorth Armada combination stock is not an ETF: shareholders own a Nevada corporation whose value can diverge from its XRP stack when equity markets reprice treasury vehicles.
Redemption maths from the SPAC side matter for anyone modelling float. The 8-K's disclosure that about 80.3% of redeeming shares exited at roughly $10.58 each removed nearly $195 million of cash that might otherwise have thickened the treasury. What remains is a company that still advertises about $300 million of gross cash proceeds and a large XRP stack, but with a Class A share count of just over 22 million after closing. Lock-ups on Ripple, the contributor-related entity and the sponsor for up to six months further shape how much stock can trade in the first Evernorth Armada combination sessions.
Product positioning is deliberately different from spot XRP ETFs. Birla's letter frames active deployment across infrastructure and use cases rather than passive holding alone, which introduces strategy risk on top of token price risk. Arrington's quote ties the listing to institutional maturation of XRP rails. Investors comparing XRPN to Bitwise or Franklin spot products will need to read custody, leverage and yield disclosures as they appear—not assume ETF-like tracking. The October 14 closing-bell ceremony is optics; the first 10-Q will be substance.
Secondary trading will also reflect how equity investors treat digital-asset treasury companies after a year of experiments. Premiums and discounts to net asset value can dominate day-to-day returns even when the underlying token is quiet. Evernorth's mix of Class A voting stock and Class C non-voting stock, detailed in the 8-K table of outstanding securities, means governance and economic exposure are not identical across the cap table. Anyone modelling the Evernorth Armada combination float needs those share classes, warrant overhang and lock-ups in the same spreadsheet as the 473 million XRP figure from the press release.
What's next
Watch opening liquidity in XRPN and XRPNW, any Regulation FD updates on XRP holdings via the investor site the 8-K highlights, and how the stock trades relative to net asset proxies as XRP itself moves. Lock-up agreements described in the 8-K restrict certain holders for up to six months after closing, which can shape float. The Evernorth Armada combination listing is a governance and disclosure event as much as a market one. This article is for information only and is not investment advice.
